Terms and Conditions

These Terms and Conditions govern access to and participation in the Kiboga Hill Farm Digital Management Platform, including individual, family, group and organizational projects; farming and project records; specialist services; collaborative activities; and the Kiboga Hill Farm Online Market.

These Terms and Conditions consist of:

By accepting these Terms and Conditions, a user confirms that they have read, understood and agreed to the provisions applicable to their use of the Platform.

PART A — GENERAL PLATFORM, MEMBERSHIP AND PARTICIPATION TERMS

1. Eligibility and Registration

Applicants must provide complete, truthful and accurate information during registration and throughout their participation in the Platform.

Submission of an application does not automatically guarantee membership, participation, funding, benefits, project admission or access to particular Platform services. Applications may be reviewed, approved or rejected by authorized administrators.

Members are responsible for keeping their personal, contact and other relevant information reasonably up to date.

The Platform may request additional information where reasonably necessary to verify an application, determine eligibility, administer a project or protect the integrity and security of the Platform.

2. Account and Platform Access

Approved users may be provided with access to the Platform according to their assigned roles and permissions.

Users must protect their login credentials and must not knowingly permit unauthorized persons to access or use their accounts.

Activities carried out through a user's account may be treated as activities performed by that user unless the user reports suspected unauthorized access.

Users must promptly report suspected unauthorized access, misuse or compromise of their accounts.

The Platform may temporarily restrict or suspend access where reasonably necessary to protect users, projects, records or Platform security.

3. Projects and Participation

Participation may involve individual, family, group, organizational or other approved projects.

Each project may have its own objectives, activities, responsibilities, budgets, contributions, timelines, operational procedures and approved resolutions.

Participants agree to comply with lawful and properly communicated project decisions, procedures and resolutions applicable to projects in which they participate.

Participation in one project does not automatically create a right to participate in another project.

Project roles and permissions may differ between owners, members, administrators, staff, beneficiaries, specialists, viewers and other authorized participants.

4. Contributions and Financial Obligations

Where a project requires financial, material, labour or other contributions, participants shall make those contributions according to the agreed project arrangements.

Applicable contribution amounts, payment schedules, penalties, benefits and settlement arrangements shall be communicated to participants and may differ between projects.

Late or missed contributions may attract penalties or other measures where these have been properly approved under the applicable project arrangements.

Participants remain responsible for outstanding obligations incurred under projects in which they participate, subject to applicable project rules and law.

Records maintained through the Platform may be used to assist in determining contributions, payments and outstanding obligations.

5. Withdrawal from a Project

A participant may request to withdraw from a project subject to applicable project rules and any outstanding obligations.

Any refund, contribution, benefit, asset or other amount due following withdrawal shall be determined according to the applicable project's financial arrangements and verified records.

Where a project specifies a settlement period, payment shall be processed within that period subject to reconciliation of the participant's obligations, liabilities and entitlements.

Withdrawal from a particular project does not necessarily terminate the user's Platform account unless the user separately requests account closure or continued Platform access is no longer applicable.

6. Conduct, Suspension and Removal

Participants are expected to act honestly, respectfully and responsibly and to protect the interests, property, information and reputation of projects in which they participate.

Fraud, deliberate provision of false information, misuse of funds or property, harassment, unauthorized access, manipulation of records, serious misconduct or persistent violation of applicable project rules may result in restriction, suspension or removal.

Where reasonably practicable, affected participants shall be informed of the reason for disciplinary action and given an opportunity to respond.

The Platform may take immediate protective action where necessary to protect users, funds, property, records, projects or Platform security while a matter is being reviewed.

Any financial or property settlement following removal shall be handled according to applicable project rules and verified records.

7. Farming and Project Records

Users may be required or permitted to enter and maintain information concerning farming targets, enterprises, livestock, crops, plants, trees, aquaculture, operations, production, progress, sales, expenses, contributions and other project activities.

Users are responsible for making reasonable efforts to ensure that information they enter is accurate, complete and not deliberately misleading.

Authorized administrators, project managers, specialists, organizational personnel or other approved users may access project records according to their assigned roles and permissions.

Records entered into the Platform may be used for project monitoring, farm management, reporting, evaluation, planning, decision-making and other legitimate Platform or project purposes.

Users must not deliberately alter, falsify, destroy or manipulate records for fraudulent or misleading purposes.

8. Specialists and Professional Guidance

The Platform may facilitate interaction with veterinarians, agronomists, meteorologists, project managers and other specialists.

Specialists may provide observations, recommendations, discussions, operational records or other professional input according to their assigned roles and permissions.

Recommendations provided through the Platform should be considered within the circumstances of the particular farm, enterprise or project.

Where appropriate, users remain responsible for obtaining relevant professional, regulatory, veterinary, agricultural, financial, legal or other advice before making significant decisions.

The Platform does not guarantee a particular farming, production, financial or commercial outcome merely because specialist advice or information has been provided through it.

9. Privacy and Use of Information

Information provided through the Platform may be collected, stored and processed for legitimate purposes including:

Access to personal and project information shall be limited according to authorized roles, permissions and legitimate operational requirements.

Information shall not knowingly be disclosed to unauthorized third parties except where required by law, authorized by the user, necessary for an approved service or project purpose, or reasonably necessary to protect users or the Platform against unlawful activity.

Where applicable, additional privacy notices or data-protection requirements may supplement these Terms and Conditions.

10. Photos, Documents and Other Records

Where users upload photographs, videos, documents or other materials, they confirm that they have the right or authority to provide those materials.

Project-related materials may be used for legitimate project monitoring, verification, reporting, administration and record keeping, subject to applicable privacy and data-protection requirements.

Materials must not knowingly infringe another person's rights or contain unlawful, fraudulent or deliberately misleading content.

Any separate use of identifiable personal materials for public promotion, advertising or publicity should be subject to appropriate consent where required.

11. Platform Availability and Changes

Reasonable efforts will be made to maintain the availability, integrity and security of the Platform.

However, uninterrupted access cannot be guaranteed because maintenance, internet connectivity, technical failures, security incidents, upgrades or circumstances beyond reasonable control may temporarily affect availability.

Platform features may be improved, replaced, added, restricted or modified as the system develops.

Reasonable measures should be taken to protect important Platform records, but users should retain copies of particularly important information where appropriate.

12. Project-Specific Rules

Individual projects may adopt additional rules, contribution arrangements, operational procedures, eligibility requirements or participation conditions.

Where such rules apply, they should be properly communicated to affected participants and shall supplement these Terms and Conditions.

Project-specific rules may include matters such as contributions, penalties, benefits, withdrawal procedures, settlement periods, ownership arrangements and operational responsibilities.

Project-specific rules shall not override applicable law or rights that cannot lawfully be excluded.

13. Amendments to These Terms

These Terms and Conditions may be updated where necessary because of changes to the Platform, project operations, Online Market activities, legal requirements or organizational arrangements.

Each published version should carry an identifiable version number and effective date.

Where a material change affects existing users, reasonable notice should be provided and renewed acceptance may be required before continued use of affected services.

A record of the version accepted by a user may be retained by the Platform.

PART B — ONLINE MARKET TERMS AND CONDITIONS

The provisions in this Part apply where a user accesses, lists products on, buys through, sells through or otherwise uses the Kiboga Hill Farm Online Market.

They apply in addition to the general provisions contained in Part A.

14. Role of the Online Market

The Online Market provides a digital marketplace through which approved users may advertise, discover, buy or sell agricultural products, livestock, crops, farm inputs, produce and other approved goods or services.

Unless expressly stated otherwise for a particular transaction, the Platform facilitates interaction between buyers and sellers and is not itself the owner, producer or seller of goods listed by independent users.

A transaction entered into between an independent buyer and seller does not automatically make the Platform a party to the sale.

15. Seller Responsibilities

A seller must ensure that every listing is truthful, lawful and reasonably accurate.

The seller is responsible for providing correct information concerning a product, including where applicable its:

A seller must not knowingly advertise goods that they do not own, control or have authority to sell.

Sellers should promptly update or remove listings when goods are no longer available or material information has changed.

16. Agricultural Produce and Livestock

Where livestock, crops, seedlings, agricultural produce or other biological products are offered for sale, sellers must disclose material information reasonably relevant to the transaction.

For livestock, this may include known health conditions, vaccination information, age, sex, breed and other relevant records where available.

Sellers must not knowingly conceal a material disease, defect or condition for the purpose of misleading a buyer.

Buyers are encouraged to inspect livestock, produce and other goods or obtain appropriate professional advice before completing significant transactions.

17. Prices, Fees and Payments

Sellers are responsible for clearly stating their prices and any applicable conditions of sale.

The total amount payable should be communicated to the buyer before completion of a transaction.

Where the Platform provides payment facilities, transaction charges, commissions, service charges or other applicable fees may apply and should be disclosed before payment or confirmation of the transaction.

Users must not use the Online Market for fraudulent payments, money laundering, unauthorized transactions or other unlawful financial activities.

Where payment services are provided by third-party financial or payment-service providers, their applicable terms may also apply.

18. Orders, Delivery and Collection

Buyers and sellers are responsible for complying with agreed arrangements concerning payment, delivery, transportation or collection unless the Platform expressly provides those services.

Delivery fees, transportation responsibilities and expected delivery or collection arrangements should be communicated before completion of the transaction.

Where livestock, perishable produce or other sensitive goods are transported, the responsible parties should take reasonable measures appropriate to the nature of the goods and applicable requirements.

19. Inspection and Acceptance of Goods

Buyers should reasonably inspect goods upon collection or delivery.

Where goods materially differ from their description, the buyer should promptly notify the seller and, where applicable, use the Platform's available dispute mechanism.

Perishable agricultural products and livestock may require special consideration because their condition can change with time, handling, transportation, feeding, storage or environmental conditions.

Evidence such as photographs, transaction records, messages or professional assessments may be considered where a dispute arises.

20. Cancellations, Returns and Refunds

Cancellation, return and refund rights may depend on the nature of the product, its condition, whether it is perishable and the circumstances of the transaction.

Sellers must comply with applicable consumer-protection requirements and any Online Market refund or dispute rules communicated through the Platform.

Where a return is appropriate, the buyer and seller should cooperate reasonably in determining the condition of the goods and appropriate arrangements for return, replacement or refund.

Nothing in these Terms removes a legal right or remedy that cannot lawfully be excluded.

21. Prohibited Listings and Conduct

Users must not list stolen, fraudulent, illegal, counterfeit, unsafe or otherwise prohibited goods.

Users must not deliberately:

The Platform may remove or restrict suspicious or prohibited listings and may suspend or terminate accounts involved in serious or repeated violations.

22. Buyer and Seller Communication

Buyers and sellers must communicate honestly and respectfully.

Users should use available Platform communication and transaction records where practicable because these may assist in verifying transactions and resolving disagreements.

Users must not use Platform communication facilities for harassment, fraud, spam, unlawful solicitation or other prohibited conduct.

23. Disputes

Buyers and sellers should first make reasonable efforts to resolve transaction disputes between themselves.

Where the Platform provides a dispute-resolution mechanism, either party may submit the matter for review together with relevant transaction records, photographs, communications or other evidence.

The Platform may facilitate communication or review available records but does not automatically assume the legal obligations of either buyer or seller.

Any Platform-assisted resolution shall remain subject to applicable law and Online Market rules in force at the time of the transaction.

Nothing in this section prevents a user from pursuing any legal remedy available under applicable law.

24. Fraud and Suspicious Activity

The Platform may review, restrict, suspend or terminate accounts, listings or transactions where there are reasonable grounds to suspect:

The Platform may request reasonable information or documentation necessary to investigate suspicious activity.

Where required or permitted by applicable law, relevant information may be provided to competent authorities.

25. Platform Responsibility

The Platform will take reasonable measures to promote a trustworthy marketplace but cannot guarantee the identity, conduct, financial capacity or performance of every independent buyer or seller.

The Platform cannot guarantee the quality, condition, safety, legality or suitability of every independently listed product.

Users remain responsible for exercising reasonable judgment before entering into transactions.

Nothing in these Terms excludes or limits any responsibility, consumer protection, remedy or other right that cannot lawfully be excluded or limited.

26. Market Records

Transactions conducted through the Online Market may generate digital records including:

Such records may be retained for legitimate purposes including transaction administration, accounting, security, fraud prevention, dispute resolution, monitoring and reporting.

Market records may also interact with relevant farming, production, sales, inventory or financial records within the Platform where the applicable functionality permits.

PART C — ACCEPTANCE AND CONSENT

27. Acceptance of the Terms and Conditions

By selecting “I have read, understood and agree to the Kiboga Hill Farm Digital Management Platform Terms and Conditions, including the Online Market Terms and Conditions where applicable”, the applicant or user confirms that:

Acceptance of these Terms and Conditions is mandatory for registration and participation in the Kiboga Hill Farm Digital Management Platform.

A person who does not agree to these Terms and Conditions should not complete registration or use services requiring acceptance.
